Terms & conditions
These terms and conditions (‘Terms’) apply to all applications (‘Applications’) received for Industrial Research Ltd’s (‘IRL’) Scientist for a Day programme (‘Programme’). By applying, applicants agree to be bound by these terms including IRL’s consideration of the Applications, the allocation of IRL personnel, and the provision of the Scientist for a Day service. By submitting an Application in any form you agree to be bound by these Terms.

Application
All information published by IRL on how to submit the Application (including the Application form) forms part of these Terms.
To be considered, you must:
- be a New Zealand-based business with a registered office in New Zealand
- operate in an area focused on manufacturing, bio-manufacturing, health and medical, energy, or other areas aligned with IRL’s purpose and its research capabilities (see www.irl.cri.nz/about-us)
- not be an employee or contractor of IRL or an immediate family member of an employee or contractor of IRL
- not be a company or other entity in which IRL has a direct shareholding
- consent to IRL sending marketing material and promoting services to you relating to IRL’s business services and to the Scientist for a Day programme
- make your Application by completing the online Application form and include all information required in the form.
Applications open 11 May 2011 and close 30 June 2011. IRL may extend this deadline. Please check the website for any changes.
All Applications will be acknowledged via automated email. If you do not receive acknowledgement within 48 hours of making your Application, please email sfad@irl.cri.nz.
You may be disqualified at any if IRL is unable to contact you for five consecutive days using the contact details provided in your Application.
Selection Process
IRL will appoint a Selection Panel ('the Panel') to review all qualifying Applications ('the Selection Process'). The Panel will include employees of IRL and one or more representatives of BusinessNZ. The Selection Process will begin 1 July and conclude at the end of July.
The Panel will review all Applications. Applications may be disqualified if IRL considers that the Application is frivolous, compromises IRL’s reputation, or fails to meet the requirements of the Terms.
The Panel may contact you to request further information regarding your Application. Failure to provide such information may prejudice your Application.
The Panel will select up to thirty applications ('Successful Applicants') to participate in the Programme. All applicants will be notified by IRL and informed whether or not their Application has been successful.
All decisions of the Panel will be final and no correspondence will be entered into.
You may be disqualified if you attempt - directly or indirectly – to approach the Panel or an IRL employee or a director in connection with your Application (other than where invited to do so by the Panel) or in any other inappropriate way attempt to influence the outcome of your Application.
IRL reserves the right to amend the Selection Process.
The Scientist for a Day Service
An appropriately qualified IRL representative will meet with the Successful Applicant at the applicant’s nominated New Zealand site or IRL’s premises, as agreed by the parties, to provide up to 24 hours of technical/advisory services ('Services') tailored to the applicant’s specifications.
The timing, duration and place of visit will be agreed between IRL and Successful Applicants to fit with each party’s reasonable requirements.
IRL will fund all costs associated with providing the Services including, where agreed, visiting the Successful Applicant’s nominated New Zealand site. If the parties agree that the Successful Applicant will visit an IRL site, IRL will fund reasonable travel and accommodation costs for one (1) representative nominated by the Successful Applicant to visit IRL’s premises. IRL will make all necessary bookings for travel and accommodation. All other costs (including food, drink, and incidentals) incurred by the Successful Applicant are the responsibility of the Successful Applicant.
Following the last visit, IRL can provide the Successful Applicant with a written report, summarising any Services provided and discussions with the Successful Applicant.
All visits will be completed by 23 December 2011.
Confidentiality and Non-Disclosure
Confidentiality
IRL recognises the sensitivity of the information applicants provide and will take care in handling confidential matters.
IRL will use such information solely for the purpose of the Programme. IRL will ensure that members of the Panel observe the same duties of confidentiality that IRL does.
Obligations of confidentiality will not apply in relation to information which:
- is or becomes publicly known without breach by IRL of its obligations under these Terms
- is lawfully received by IRL from a third party not owing (directly or indirectly) any obligation of confidentiality to you
- is already known to IRL at the time of disclosure
- is independently acquired or developed by IRL without the benefit of use of your information
- must be disclosed by law.
IRL may retain for its records copies of all information you provide in relation to your Application.
IRL will collect personal information for the purpose of conducting the Selection Process and may for this purpose disclose such information to third parties, including, but not limited to, members of the Panel and, if required by law, New Zealand regulatory authorities.
Personal information collected for the purpose of the Programme and in accordance with these Terms will be destroyed, or deleted from electronic storage:
- once the Programme has ended
- when applicants unsubscribe from receiving marketing material from IRL
- when IRL has concluded its marketing and publicity activities relating to the Programme, whichever is later.
Until that time, all applicants’ personal information will be held by IRL at 69 Gracefield Road, Lower Hutt, New Zealand. Applicants have rights of access to, and the right to request correction of, personal information. Please contact IRL if you wish to access, correct or update your personal information.
Non-Disclosure
Successful Applicants must sign a Two-Way Non-Disclosure Agreement ('NDA') with IRL before the provision of the Services by IRL.
If you are a Successful Applicant, IRL will contact you to arrange signing of the NDA before the end of July 2011. If a Successful Applicant does not sign and return the NDA to IRL within seven days of receipt, the Panel may remove that Applicant from the Programme.
Publicity
If you are selected, you consent to IRL using your business name (or your name if you are an individual), logo, and images as agreed, for IRL’s advertising and publicity purposes without further compensation. You also consent to receive marketing materials from IRL by email or otherwise.
Intellectual Property Rights
To the extent that you hold any rights or interest in any idea, invention or other intellectual property right included in your Application, that right shall remain your property and nothing in the Terms grants IRL any right in relation thereto (other than to the extent necessary for making an assessment in accordance with the Terms or providing Services in the event that you are a Successful Applicant).
You warrant that you are the owner or licensee of all intellectual property rights included in your Application and that the submission and assessment of your Application and/or IRL’s performance of Services for you will not breach any right or interest of any third party.
Your Application must clearly state where, and to the extent that, your Application is likely to require access to any intellectual property rights of IRL or any third party, and you must show you have or will obtain appropriate rights in relation to such intellectual property.
Other
No applicant may assign the Services.
IRL's failure to enforce any term of these Terms shall not constitute a waiver of that or any other provision by IRL.
If any provision of these Terms is or becomes invalid or unenforceable, that provision will be deemed deleted from these Terms. The invalidity or unenforceability of that provision will not affect the other provisions of these Terms, all of which will remain in full force and effect to the extent permitted by law, subject to any modifications made necessary by the deletion of the invalid or unenforceable provision. These Terms shall be governed by the laws of New Zealand whose courtrs shall have exclusive jurisdiction.
To the extent permitted by law, IRL reserves the right to cancel, suspend, terminate or modify the Programme if any other factor beyond IRL's reasonable control adversely affects IRL's ability to conduct the Programme as contemplated in these Terms.
IRL will not be liable, and is not responsible, for any tax implications, loss, cost, damage or expense (including indirect and consequential loss or damage) suffered or incurred by any applicant as a result of its Application to IRL or receiving the Services.
Indemnity
Each Successful Applicant indemnifies IRL for any losses suffered by IRL as a result of the provision of Services to that Applicant.
No Warranty
IRL gives no warranty that any particular benefit or outcome will accrue to Successful Applicants as a result of provision of the Services.
